LIEUTENANT GOVERNOR ROACH ANNOUNCES NOTICE OF INTENT TO ADMINISTRATIVELY DISSOLVE BUSINESS ENTITIES

Lieutenant Governor Tregenza A. Roach, Esq. announces the intent to administratively dissolve corporations, partnerships, and limited liability companies that are not in good standing with the Division of Corporations and Trademarks because of the failure to pay franchise taxes or fees and to file annual reports for five or more years.

A list of all affected business entities will be published on the Office of the Lieutenant Governor’s website at https://ltg.gov.vi/departments/corporations-trademarks/ commencing today, Wednesday, February 22, 2023. The listing can also be accessed through the St. Thomas Source, St. Croix Source, St. John Source for a total of eight (8) consecutive weeks, commencing on Wednesday, February 22, 2023. The last publication will be on Wednesday, April 19, 2023.

If a business entity appearing in the publication fails to pay outstanding franchise taxes and fees and file past due annual reports on or by Wednesday April 19, 2023, the entity will be administratively dissolved.  Once dissolved, the entity’s name will become available for use by other business entities that apply to the Division for the use of the dissolved entity’s name.  Additionally, the entity’s name will be forwarded to the Department of Licensing and Consumer Affairs for appropriate action by that department.
